The materials, research, and financial metrics presented on this website are intended solely for wholesale and sophisticated investors as defined under Sections 708(8), 708(10), and 708(11) of the Corporations Act 2001 (Cth). They do not constitute an offer, invitation, or recommendation to retail clients in Australia or any other jurisdiction.
1. Legal Entity & Acceptance of Terms
This website and associated digital client facilities are operated by ASSET PACIFIC PTY LTD (ACN Registered, incorporated under the laws of Victoria, Australia, with registered corporate headquarters at Level 7/303 Collins Street Melbourne VIC 3000).
By accessing, browsing, or utilizing any portion of this website, you irrevocably agree to be bound by these Terms of Service, our Privacy Policy, and all applicable Australian Commonwealth and Victorian state laws. If you do not accept these terms, you must immediately discontinue use of this site.
2. Wholesale & Sophisticated Investor Eligibility
ASSET PACIFIC PTY LTD provides wholesale asset management, property syndication, and fiduciary advisory services exclusively to qualifying institutions, corporate trustees, family offices, and certified sophisticated individuals. Participation in our unlisted property unit trusts requires formal certification by a qualified Australian accountant verifying satisfaction of statutory income or net asset thresholds (AUD $2.5 million in net personal assets or AUD $250,000 gross annual income for the preceding two financial years).
Nothing on this website should be construed as an Australian Retail Product Disclosure Statement (PDS) or a prospectus under Chapter 6D of the Corporations Act 2001.
3. No Financial, Legal, or Taxation Advice
The information provided on this website—including macroeconomic research whitepapers, property operational specifications, weighted average lease expiry (WALE) statistics, and fee calculators—is provided for general informational purposes only and does not constitute personal financial product advice, taxation counsel, or legal advice.
Prospective wholesale investors must evaluate investment mandates based on their individual financial objectives and must obtain independent financial, legal, and taxation advice prior to committing capital.
4. Forward-Looking Statements & Performance Disclaimer
Any statements regarding property operational metrics, internal rates of return (IRR), future commercial property capital growth, or inflation pass-through performance represent forward-looking statements based on reasonable underwriting assumptions, current lease covenants, and market conditions at the time of publication.
Past performance of real estate investments is not a reliable indicator of future performance. Capital values and quarterly cash distributions may fluctuate based on general economic cycles, tenant solvency, and interest rate adjustments by the Reserve Bank of Australia.
5. Cross-Border & Foreign Investment Regulations
Investments by foreign non-resident entities, offshore trusts, or foreign corporations are subject to the Foreign Acquisitions and Takeovers Act 1975 (Cth) and policy requirements administered by the Foreign Investment Review Board (FIRB). Foreign investors are solely responsible for ensuring that their cross-border capital deployment complies with their home jurisdiction laws and Australian foreign investment notification mandates.
Certain acquisitions of Australian urban land, commercial premises, and interests in land-holding entities require prior FIRB notification and clearance, and may attract application fees calculated by reference to the value of the investment. Where an exemption certificate, significant investor pathway, or established bilateral treaty threshold is relied upon, the investor must provide evidence of eligibility before settlement. ASSET PACIFIC PTY LTD does not provide foreign investment approval services and does not warrant that any proposed transaction will obtain regulatory clearance.
Investors are further responsible for their own exchange control approvals, sanctions screening obligations, tax residency disclosures, and reporting duties in their jurisdiction of residence. We may decline to proceed with any mandate where we form the view, in our sole discretion, that the transaction would breach Australian sanctions law, foreign investment policy, or our AML/CTF obligations.
6. Intellectual Property & Confidential Data Rooms
All proprietary information memoranda, legal structuring diagrams, interactive fee calculators, text, graphics, and trade dress on this website are the exclusive intellectual property of ASSET PACIFIC PTY LTD, protected under the Copyright Act 1968 (Cth) and international treaties. Unauthorized reproduction, modification, or commercial dissemination is strictly prohibited.
Where you are granted access to a secure data room in connection with a prospective mandate, that access is personal, revocable, non-transferable, and limited to your internal evaluation of the transaction. You must not forward, screenshot, extract, or reproduce any information memorandum, valuation report, lease schedule, or financial model contained in the data room, and you must not disclose its contents to any third party other than your own professional advisers who are bound by equivalent confidentiality obligations.
Access logs, watermarking, and download records may be retained for the purpose of verifying compliance with these obligations. We reserve the right to suspend data room access immediately where we detect unauthorised distribution, credential sharing, or any use inconsistent with these Terms.
7. Governing Law & Judicial Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any dispute arising in connection with this website or our fiduciary advisory services shall be subject to the exclusive jurisdiction of the Courts of Victoria and the Federal Court of Australia sitting in Melbourne.
Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy implied or imposed by the Australian Consumer Law or any other statute that cannot lawfully be excluded or limited. Where such a provision applies, our liability is limited to the maximum extent permitted by that statute.
8. Limitation of Liability
To the maximum extent permitted by law, ASSET PACIFIC PTY LTD, its directors, officers, employees, and appointed advisers exclude all liability for any loss or damage, whether direct, indirect, incidental, special, exemplary, or consequential, arising from or in connection with your access to or use of this website, reliance on any content published on it, or any inability to access the site.
This exclusion extends to loss of profits, loss of anticipated savings, loss of investment opportunity, loss of goodwill, and loss arising from interruption of business, whether or not we were advised of the possibility of such loss. We do not warrant that this website will be uninterrupted, secure, free of viruses or other harmful code, or that any errors in published content will be corrected.
Where liability cannot lawfully be excluded but may be limited, our aggregate liability in respect of any claim relating to this website is limited to the total amount of fees actually received by ASSET PACIFIC PTY LTD from you under the relevant mandate in the twelve months preceding the event giving rise to the claim, or AUD $1,000 where no mandate exists, whichever is greater.
Nothing in this clause limits liability for fraud, wilful misconduct, or any liability that cannot be limited under Australian law, including statutory guarantees applicable to consumers where they cannot be excluded.
9. Indemnification
You agree to indemnify and hold harmless ASSET PACIFIC PTY LTD and its directors, officers, employees, and agents against any claim, action, proceeding, loss, liability, damage, cost, or expense (including reasonable legal costs on a solicitor-client basis) arising out of or connected with: your breach of these Terms; your misuse of this website or any data room; any representation you make to a third party regarding our services or any mandate; or your failure to comply with the laws of your own jurisdiction, including foreign investment, sanctions, and tax reporting obligations.
This indemnity applies whether the claim arises in contract, tort (including negligence), statute, equity, or otherwise, and survives the termination of any engagement between you and ASSET PACIFIC PTY LTD. It does not apply to the extent that the relevant loss is caused by our own fraud or wilful misconduct.
10. AML/CTF Cooperation & Identity Verification
Before accepting any subscription, we are required to identify our clients, verify beneficial ownership, and understand the source of wealth and source of funds associated with an investment. By using this website and expressing interest in a mandate, you agree to provide certified identification documents, corporate registers, trust deeds, and supporting financial evidence upon request, and to refresh those records when they change.
We may decline, delay, suspend, or terminate any engagement, and may withhold distributions or redemptions, where customer due diligence cannot be completed to a standard satisfactory to us, where information provided appears inconsistent or unverifiable, or where a transaction is subject to sanctions screening. Where required by law, we may report suspicious matters to AUSTRAC without notifying you, and we will not be liable for any loss arising from compliance with those obligations.
You must promptly notify us if you become a politically exposed person, if your beneficial ownership structure changes, or if you become subject to sanctions or adverse regulatory action in any jurisdiction.
11. Electronic Communications & Signatures
You consent to receive statutory notices, distribution advices, tax attribution statements, annual reports, and amendments to these Terms by electronic means, including email to the address you nominate and publication on this website. Electronic delivery satisfies any statutory requirement for written notice where such consent is permitted by the Electronic Transactions Act 1999 (Cth) and the Corporations Act 2001 (Cth).
You agree that electronic signatures applied through our secure portal carry the same legal effect as handwritten signatures, and that records of portal activity, timestamps, and access logs may be relied upon as evidence of your assent to documents executed electronically. You are responsible for maintaining a current email address and for promptly notifying us of any change in contact details.
12. Third-Party Links, References & Research Sources
This website may contain links to external websites, regulatory publications, market data providers, or third-party research. Such links are provided for convenience and reference only. We do not control, endorse, or take responsibility for the content, accuracy, availability, or privacy practices of any external site, and your access to those sites is governed by their own terms.
Where we cite third-party market data, valuation benchmarks, or index performance, we do so on the basis of sources we consider reliable at the time of publication. We do not warrant that such data is complete, current, or free from error, and it should not be treated as a substitute for your own due diligence or independent professional assessment.
13. Confidentiality of Client Information
You agree to keep confidential any non-public information disclosed to you by ASSET PACIFIC PTY LTD in the course of evaluating a mandate, including portfolio composition, tenant covenants, lease expiries, rental schedules, capital structure, and fee arrangements. You may disclose such information only to your professional advisers, lenders, and co-investors who have a genuine need to know and are bound by equivalent confidentiality obligations, or where disclosure is required by law or a regulatory authority.
This obligation does not extend to information that is already lawfully in the public domain, that you can demonstrate was independently developed without reference to our disclosures, or that you are compelled to disclose under a court order or statutory direction, provided you notify us promptly where lawful to do so.
14. Variation, Severability & Entire Agreement
We may amend these Terms of Service at any time by publishing a revised version on this page. Amendments take effect on publication, and your continued use of this website after that date constitutes acceptance of the revised Terms. Where an amendment materially affects an existing mandate, we will provide notice to affected clients in accordance with the notice provisions of the relevant trust deed or engagement agreement.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed to the minimum extent necessary and the remaining provisions will continue in full force. No failure or delay by us in exercising any right under these Terms operates as a waiver of that right, and no single or partial exercise precludes any further exercise.
These Terms, together with our Privacy Policy, Cookie Policy, and any executed mandate documentation, constitute the entire agreement between you and ASSET PACIFIC PTY LTD in relation to your use of this website, and supersede all prior discussions, representations, and understandings on that subject, except to the extent that a separate written agreement expressly prevails.
15. Notices, Complaints & Compliance Desk
Formal notices to ASSET PACIFIC PTY LTD must be in writing and delivered to our registered office or sent by email to support@assetpacific.net with a clear subject reference. Notices are deemed received on the next business day following transmission, provided no delivery failure notification is received. Notices to you will be sent to the email address recorded in our client register or published on this website where the notice concerns all users.
Complaints concerning the content of this website, the conduct of our personnel, or the accuracy of any disclosure should be directed to our Compliance Desk. We will acknowledge complaints within five (5) business days and provide a substantive response within 30 calendar days, setting out our findings and any remedial action.
